Authorized Customers 

Reseller is authorized to sell Products to End Users. An “End User” is a purchaser of the Products who is the ultimate consumer of the Products and who does not intend to resell the Products to any other person or entity.  

Reseller shall not sell or transfer Products to any person or entity that Reseller knows or has reason to know intends to resell the Products.  Reseller shall not sell, ship, invoice, or promote the Products outside the Philippines without Smartboard PH's prior written consent.

Online Sales

Resellers are allowed to promote and sell Smartboard PH products online—but only through approved websites that follow these rules:

What Counts as an Approved Website:

• It must be a website or mobile app owned and managed by you (the reseller).
• It should clearly show your business name, address, phone number, and email.
• It must not look like it’s run by Smartboard PH or any other company.
• It must be registered with Smartboard PH and follow our Authorized Resellers' Policy.

Sales Practices

Reseller shall conduct its business in a reasonable and ethical manner at all times and shall not engage in any deceptive, misleading, or unethical practices or advertising at any time.  Reseller shall not make any warranties or representations concerning the Products except as expressly authorized by Smartboard PH.  Reseller shall comply with any and all applicable laws, rules, regulations, and policies related to the advertising, sale, and marketing of the Products.  Reseller shall represent the Products in a professional manner and refrain from any conduct that is or could be detrimental to the reputation of Smartboard PH.

No Modification

Resellers are strictly prohibited from modifying, rebranding, repackaging, or altering any part of the Smartboard PH products. All units must be sold in their original form, preserving branding, firmware, accessories, and specifications.

Marketing Collaboration & Monitoring

Cooperative marketing efforts will be undertaken to enhance market penetration and brand visibility. Regular assessments will be conducted to evaluate reseller performance, with feedback provided to foster continuous improvement. Resellers must adhere to Smartboard PH's brand guidelines and pricing policies to maintain consistency and brand integrity.

Exclusivity

Exclusive reseller status for Gold and Silver Business Package is contingent upon meeting predefined tier metrics and is subject to periodic review. Minimum order quantities may apply based on the selected business package tier.

Direct Sales Clause

We always prioritize our resellers—but if a reseller fails to fulfill orders in their territory, Smartboard PH reserves the right to sell directly to customers to avoid missed opportunities. Resellers are encouraged to monitor their inventories and communicate proactively to maintain their exclusivity.

Order & Payment Terms

Downpayment: A 75% downpayment is required to confirm your order.

Balance: The remaining 25% balance is due upon delivery.

Accepted Payment Methods: Cash or Bank Transfer

Lead Time for Bulk Orders: Please allow 30 to 45 days for fulfillment of bulk orders (subject to volume and availability).

Delivery Fee: Free within Metro Manila

Delivery

• Pick-up from our warehouse.
• Delivery outside Metro Manila is available with an additional charge.
• Important Policy: For all items to be delivered by a third-party courier or picked up directly by the client, Smartboard PH requires a clearance check before release. Clients opting to forgo the inspection must sign a waiver acknowledging full responsibility for any damages or issues upon receipt. Smartboard PH will not be held liable once the item has left the warehouse premises without clearance.
